Main Responsibilities
Legal Support for the Establishment and Management of Companies
- Drafting, analyzing, and improving corporate founding documents (charter, founding agreement, shareholder resolutions, registration applications).
- Providing legal consultation on company formation, reorganization (merger, division, liquidation), and management matters.
- Organizing the state registration process, including preparing the necessary documents and communicating with government authorities.
- Developing corporate governance documents, such as meeting minutes of governing bodies, shareholder resolutions, and others.
Contractual Work
- Drafting, analyzing, and negotiating contracts, including commercial, agency, joint venture agreements, shareholder agreements, and share/stake purchase agreements.
- Legal examination of contracts, including risk analysis and compliance with legal requirements.
- Developing shareholder agreement drafts to regulate share transfers, corporate governance, and investment relations.
Corporate Relationship Management
- Organizing meetings of the company’s governing bodies (Board of Directors, Shareholders’ Meetings), preparing agendas, and drafting legal documents.
- Regulating shareholder relations and preventing legal disputes.
- Resolving corporate conflicts, analyzing shareholding changes, and addressing other legal matters.
Ensuring Business Legality
- Compliance of business activities with Armenian legislation in areas such as taxation, licensing, anti-monopoly, and other sectors.
- Archiving of corporate documents, participation in the development of management procedures.
- Legal support during state inspections, audits, and relations with business partners.
